Podwójna osobowość funduszy inwestycyjnych

Abstract

The publication aims to explore the issue of the subjectivity of investment funds considered as a special type of legal person. The investment fund as a legal person operates through its bodies. The uniqueness of this entity lies in the fact that the mandatory body of the investment fund is constituted by an investment fund corporation, which also has legal personality, due to the fact that it may be made up merely by a public company. The solution adopted by the Polish legislator leads to a situation wherein one legal person is the body of another legal person. Such a form of the regulation entails a number of complications and dependencies, the examples of which have been illustrated in this article.
